TERMS AND CONDITIONS OF adiClub
Welcome to adiClub (the “Club”). The Club includes a membership program and a subscription to the adidas running app as detailed below. The Club is run by adidas Israel Ltd, a private company, whose registered address is 8 HaMlakha Street, Holon. Its VAT number is 51-340424-4 (hereinafter: the “Company”, “Adidas”, “We” or “Us”). When we refer to “you”, we mean you, the person who is reading these Terms and Conditions (the “Terms”). These Terms govern your participation in the Club and by your participation in the Club, you agree to comply with these Terms. Joining the Club means that you also agree to be bound by our Terms and Conditions with respect to eCom, an accessible link to https://www.Adidas.co.il/en/terms.html ("eCom Terms and Conditions" ).
Please read these Terms carefully.
1. Eligibility
To join the Club, you must be 18 years of age or older and an Israeli resident. By registering and participating in the Club, you certify that you meet these eligibility requirements.

2. Joining the Club
If you meet the above eligibility criteria, you can join the Club by filling out a registration form at https://www.Adidas.co.il/en; on adidas mobile apps, or in adidas retail stores. No purchase of any products is required to join the Club. Each person can only open one account. If you join the Club, you agree to provide correct, accurate, current and complete information about yourself as required in the registration form.
3. EARNING and Redeeming Points
How points are redeemed
For example: 3,600 points earned by a member of the Club will provide a 15% discount on the
purchase of certain products of the Company.
4. Points validity period
Club points will remain in effect for 12 months. This period will always end at the end of the month. For example, if you earned points on June 9, 2023, they will expire on June 30, 2024, unless adidas explicitly states otherwise. Points cannot be passed between friends. Points have no monetary value and cannot be exchanged for cash.
5. Club membership levels
The Club has four separate levels. You can upgrade to the next levels accumulating points.
Level 1 is the entry level for members with 0 to 4,999 points. To get on this level, just sign up for the Club. It is not necessary to purchase any products to remain in this level.
Level 2 is for members with 5,000 to 19,999 points.
Level 3 is for members with 20,000 to 49,999 points.
Level 4 is for members with 50,000 or more points.
You can upgrade to higher levels by accumulating the number of points specified above within 12 months from the end of the enrollment month or from entering the current level (the "Club Membership Year"). At higher levels, you can get even greater benefits. If level upgrades are obtained by obtaining points through purchases of our products, we reserve the right to withhold this upgrade for a period equal to the applicable return period for the purchased product(s).
To remain at your current level, you must meet the re-qualification requirements at the end of your membership year. If you do not meet these requirements, you will be downgraded to the previous level. Returning products can cause you to drop several levels. For example, if you return an order or a product, the points you have earned will be reduced, which will result in a reduction in the corresponding number of points.
6. Level downgrade
If you are at level 2, 3, or 4 and have not accumulated enough points during the current re-qualification period, your membership will be downgraded to a lower level, regardless of the number of points you have accumulated by this date.
The re-qualification period begins on the date you reach a new level and ends 12 months later, always at the end of the month. The number of points you need to obtain in order to retain your current level is equal to the minimum points balance required to enter this level.
Points obtained after you entered the last level will be deemed points for the purpose of re-qualification. The re- qualification period will start exactly on the date of the upgrade to this level and will expire at the end of the 12th month. After a level upgrade, the re- qualification points will be set to 0.
If you do not accumulate enough points for your level during the re-qualification period, your membership will be downgraded to a lower level. The downgrade will take place after the last day of the re- qualification period, which is always at the end of the month.
If you go through a level downgrade, the re- qualification period will start exactly on the date of the downgrade to this level and will expire at the end of the 12th month, unless you go through an upgrade during that period. Once the level is lowered, the re-qualification points will be reset to 0. If a member does not accumulate enough points for their level during the re-qualification period, they will go through a lower level. The downgrade will take place after the last day of the re- qualification period, which is always at the end of the month.
7. Benefits
Entering and advancing to each of the above levels will unlock a set of new benefits for members as described here: [https://www.adidas.co.il/en/adiclub].
You will have access to benefits at and below your current level. For example, a Level 3 member will have access to benefits at Level 3 as well as Level 2 and Level 1 (except for Discount Vouchers when entering lower levels).
Certain benefits will be conditional on your acceptance of separate terms and conditions applicable to that benefit and which will be available to you when you redeem the benefit. In addition, the following terms and conditions apply to the following specific benefits:
Specific benefits (whether products or experiences) are available while supplies last and may be subject to change, discontinuation, limitations, and replacement by us, at the discretion of the Company and at any time without notice.
8. Using your account
You are responsible for maintaining the confidentiality of your password and account, and you are fully responsible for all activities that take place under your password or account. The Club is for your personal use only. Don't share your adidas membership identification and/or password information or make it available to others. You should immediately inform the adidas customer service team (the details are set out below in Section 16) of any unauthorized use of your password or your account or any other security breach.

9. The right to withdraw from the Club Membership Agreement
Club membership can be terminated within 14 days of the date you enrolled in the Club without giving any reason whatsoever. To exercise this right of termination, you must inform us of your decision to cancel your Club membership by sending us a clear statement (such as a letter sent by mail) stating your decision to terminate the agreement with us. You can also cancel your Club membership electronically by filling out the express cancellation statement on our Website at https://www.Adidas.co.il/en/adiClub or by deleting your account by going to “Data Settings” in the footer on our Website and selecting “Delete my data and account” within the cancellation period. If you use one of these options, we will confirm receipt of the cancellation by email.
10. Consequences of withdrawing from the Club Membership Agreement
If you cancel your Club membership based on your right to terminate as defined above, you will not have access to the Club and you must refrain from using your Club membership and making it available to third parties.
If you cancel your Club membership based on your right to terminate as defined above, we will refrain from using any information other than personal information, provided or created by you during the period of your Club membership, except where such information
(i) is not in any use outside the context of Club membership;
(ii) exclusively related to your use of the Club membership;
(iii) has already been added by us with other data and cannot be separated or can only be separated by disproportionate effort, or (iv)was created by you together with other customers, provided that other customers can still use the information.
Upon your request, we will make available to you any information other than personal information that was provided or created by you when you were a member of the Club, except in situations under clause 10 (i), (ii) and (iii) above.
If you use the Delete your Account option (using "Delete my data and account" as described in section 9 above) to cancel your Club membership, and you want to get a copy of your information, be sure to download it before deleting your account by going to "Information settings" in the footer of our Website and selecting "Send me the information about me" or "Send me the information that can be read using a computer".
Please note that if you requested a copy of your information, your account can only be deleted after the export has been completed, otherwise we will no longer be able to fulfill such a request.
The consequences of the cancellation, with respect to any information that is defined as personal information, will be subject to the provisions of the Privacy Notice.
For the avoidance of doubt, it is not possible to recover the account and/or the data and/or the points and rights accumulated after the deletion, and the deletion of the account will be done in all places including the Adidas app and the Running app.
11. Termination; Expiration; Changes in the Club
Notwithstanding the foregoing, you can cancel your Club membership at any time by logging in to your account on the Website or App.
We may terminate your Club membership at any time, if we determine that you (a) are not eligible for benefits under Section 1 above; (b) have breached any of these Terms, any of the eCom Terms and Conditions; any of the Promotional Terms applicable to a product or any other applicable law or regulation; or (c) are involved in deception, forgery, fraud or abuse of the Club.
We reserve the right to void some or all of your points or benefits or all of your points or benefits if we determine that you have received points or benefit due to error, deceit or fraud, or in any other unauthorized way.
If you or we cancel your Club membership, you will lose all the points you accrued. If you cancel your membership, you can return to the Club by registering on the Website or in the App. When you renew your Club membership, the points you previously earned will not be transferred to your new membership.
In the event of terminating membership in the Club, the following information apply to the information provided upon enrollment in the Club and which was uploaded, posted, submitted, displayed, or otherwise made available through or as part of the Club membership thereafter:

We may make minor changes to the Club and/or these Terms from time to time (if, for example, there is a change in the law that require us to change these Terms; if we add new benefits; if we add options for earning points; if we change the Club’s functionality; or if we change the technical environment). Please check these Terms regularly to ensure you understand the current Terms that apply to your Club membership.
In the event of any significant change to these Terms that materially affects you, or if we elect to terminate the Club, we will notify you in writing six (6) months in advance.
12. Compatibility
We have a legal obligation to ensure that the Club is compatible with the contract.
As part of this legal obligation, we may, from time to time, propose to and request you to install updates to the Club for security and technical reasons. It is your responsibility to install such updates without delay and to update the operating system of your device, if required for such updates. We will not be held liable for any Club incompatibility resulting from failure to install the update we have provided to you.
If the Club is not compatible with the contract and/or the compatibility requirements enshrined in law, you reserve the right to allow the Club to reach compliance throughout the supply period. Your right to claim non-compatibility will expire two years from the date of being granted membership in the Club or 12 months after the end of the membership period (the longest of which). If there is a clear flaw in the above limitation period, the limitation period will not expire before the end of four (4) months after the date on which the flaw became initially evident. You must reasonably cooperate with us to assess whether the reason for the incompatibility lies in your digital environment. If we do not receive such cooperation from you, the burden of proof of compatibility will be on you.
13. Disclaimer and Limitation of Liability
If we fail to comply with these Terms, we are liable for any loss or damage you incur that is an expected consequence of a breach of these Terms or of negligence on our part, but we are not liable for any loss or damage that cannot be expected. Loss or damage can be expected if they are a clear result of a breach on our part or if they were mentioned by you and us at the time we agreed on these Terms.
Nothing in these Terms excludes or limits our liability for:
Nothing in these Terms shall prejudice your statutory rights.
To the extent permitted by law, our cumulative liability to you for any loss or damage incurred as a result of or in connection with these Terms, whether in contract, tort (including negligence) or breach of statutory duty, or otherwise, shall not exceed the amount of ILS 100.
14. Applicable law and jurisdiction
These terms shall apply under the laws of the State of Israel.
15. Other issues
Each of the clauses in these Terms stands on its own. If any competent court or authority resolves that one of the Terms is unlawful or unenforceable, the other Terms shall remain in full force and effect.
If we do not insist that you perform your obligations under these Terms, or if we do not enforce our rights towards you, or if we delay doing so, this does not mean that we have waived our rights towards you and does not mean that you should not comply with these obligations. If we waive a default on your part, we will only do so in writing, and this does not mean that we will automatically waive any other default on your part.
